During start-up, the firm can advise future partners and shareholders regarding the best structure for incorporating a new company and whether to do so by drawing up a founders’ agreement. It also counsels managers on the most attractive legal status. The firm regularly helps innovative start-ups and foreign companies set up subsidiaries in France.

The firm handles secretarial and/or legal work for some of its clients’ legal entities.

The firm also helps companies set up supplementary compensation plans for managers and employees (free shares, BSCPE1, etc.)

Finally, and most importantly, the firm advises clients on internal reorganizations, including mergers, dissolutions, stock-for-stock mergers, restructurings, capital increases, shareholders agreements and amendments of the charter and articles of incorporation.
